Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, dashboards, data feeds, alerts, APIs, reports, and related services (collectively, the "Service") provided by DeepMap AI, Inc. ("DeepMap AI," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

Important — the Service is not an official warning system. DeepMap AI produces probabilistic, research-grade estimates of natural-hazard likelihood. It is not an official government warning, alert, or advisory, and it is not a substitute for the U.S. Geological Survey, NOAA, local emergency-management authorities, or any official warning system. Our forecasts may be wrong, late, or missing. Do not make life-safety, evacuation, financial, or operational decisions solely on the basis of the Service. Always follow the instructions of official authorities.

1. Description of the Service

The Service applies multi-physics analysis to public and licensed geophysical data to generate probabilistic hazard forecasts, monitoring signals, and related analytics, and records certain outputs to a cryptographically hash-chained, timestamp-anchored ledger. The Service is provided for informational, research, and decision-support purposes only. We may add, modify, or discontinue features at any time.

2. Accounts and Registration

Some features require an account or API credential. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

3. Subscriptions, Fees, and Billing

Paid tiers and one-time products are billed as described at the point of purchase. Unless stated otherwise: subscriptions renew automatically until cancelled; fees are non-refundable except where required by law or expressly offered; and we may change pricing prospectively with notice. You are responsible for applicable taxes. Usage-based or overage charges, where applicable, are billed per the plan you select.

4. Acceptable Use

You agree not to: (a) resell, sublicense, or redistribute the Service or its data outputs except as expressly permitted by your plan; (b) scrape, harvest, or bulk-extract data beyond your plan's limits or circumvent access controls; (c) misrepresent the Service's outputs as official warnings or as guarantees; (d) use the Service to endanger safety or violate law; or (e) interfere with the integrity, security, or performance of the Service.

5. Intellectual Property

The Service, including its software, models, methodologies, and content, is owned by DeepMap AI or its licensors and is protected by intellectual-property laws. Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service. No rights are granted except as expressly stated. Feedback you provide may be used by us without restriction.

6. Third-Party and Public Data

The Service incorporates data from third parties and public sources (for example, USGS, EMSC, NOAA, and seismic and geodetic networks). Such data is provided by those sources subject to their own terms, and we make no warranty as to its accuracy, availability, or fitness. Third-party data may be delayed, revised, or withdrawn.

7. Disclaimer of Warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR THAT FORECASTS WILL BE CORRECT, TIMELY, COMPLETE, OR UNINTERRUPTED. We do not warrant that any hazard will or will not occur.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEEPMAP AI AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR FOR PERSONAL INJURY OR PROPERTY DAMAGE, ARISING OUT OF OR RELATING TO THE SERVICE OR ANY RELIANCE ON ITS OUTPUTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless DeepMap AI from any claims, damages, or expenses arising out of your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.

10. Service Levels

Except where a written enterprise agreement expressly provides a service-level commitment, the Service is provided without any uptime, availability, or support guarantee. Any service-level terms apply only if set out in a separate signed agreement.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or if we discontinue the Service. Provisions that by their nature should survive termination (including Sections 5, 7, 8, 9, and 12) will survive.

12. Governing Law; Changes; Contact

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules, and you consent to the exclusive jurisdiction of the state and federal courts located in Utah. We may update these Terms from time to time; the "Effective date" above reflects the latest version, and continued use after changes constitutes acceptance.
